The Appellants, distribution companies, entered into Power Purchase Agreements (PPAs) with wind power producers, the Respondents, for the purchase of electricity. The tariffs were determined by the Andhra Pradesh Electricity Regulatory Commission (APERC) under the APERC (Terms and Conditions for Determination of Tariff) Regulations, 2005. Subsequently, the APERC issued new tariff regulations in 2015, which the Appellants sought to apply retrospectively to the existing PPAs. The Respondents challenged this move, arguing that the new regulations could not alter the terms of the already executed PPAs.
